RESUMO

The distribution contract, by which the distributor acquires the products to resell them under his own chance and risk to the consumer or final user, is the result of the development of mass capitalism. The contractual specie, socially typical (and which is different from other contractual types), according to the legitimate expectation of the parties, is characterized by the long duration and, by consequence, on one side, by open clauses to essential business conditions, and, by the other, by clauses that regulate the parties relationship for the future. Beyond contractual aspects, the study of distribution contracts should necessarily mind to the antitrust consequences of vertical restraints. The abuse of economic power, manifested as abuse of state of economic dependence, should be prohibited, according to the constitutional order. The state of economic dependence, first studied in Germany, and applicable to Brazilian law (Law 8.884/1994), is specially characterized by the inexistence of sufficient alternative to the other party, which confers it a relative dominant position. The abuse of state of economic dependence may manifest itself in various moments, from a pre-contractual faze until the termination of the contract.
