RESUMO

Initially, the work discusses the historical aspects, related to the evolutionary process of the institute of bankruptcy and the recovery of the company in crisis. Later, it relates to the business theory in the context of the economic and social theory and its consequent reflexes on the new bankruptcy legislation. Afterwards, the recent foreign experiences and the problems faced in complexity of this subject, are approached as a form of reflection for the construction of a doctrine directed toward the interests of the creditors satisfaction, without losing the notion of the social interest, deeply embedded in the spirit of our novel legislation. On the other hand, the present work intends to bring fundamental questions of the new law of bankruptcy to discussion, regarding essentially the business preservation as a distinguishing factor for its recovery during its economic-financial crisis, focusing as well the human rights and the dignity of human beings. The focus of attention regards the main idea of preservation, as a way of maintaining the productive source, for consequent preservation of the jobs, of collection of tributes and circulation of goods and services, distancing itself from the bankruptcy effects, searching to separate the interests of the company, since it exerts an important social function, of the rigid application of the norm to the acts practiced by the entrepreneur. And, in this context, it deals with the subject of the corporate governance, as a form of humanization of the economic relations, even as an alternative for the overcoming of the installed crisis in the company
