RESUMO

Corporate governance is the set of mechanisms that aid the management of the enterprise, its auditing and control; always aiming at increasing its value and assuring its longevity. Its importance has increased through the years as corporations grow and, with them, the conflicts between the investors and the business managers. The objective of this multicase study was to verify the corporate governance models that have been adopted by the companies listed at Brazilian Stock Market (BOVESPA). Being a descriptive research with mainly qualitative approach many resources have been used as evidence. The secondary data were provided by a wide investigation in the regulatory law system regarding the subject. The primary data were obtained using questionnaires which were sent to the companies managers or answered through information gathered from their websites. The data analysis aimed at identifying the board of directors, the ownership structure, the takeover market, and the legal / regulatory system. The data show which mechanisms and models of corporate governance have been adopted by the researched companies, their motivation to adopt this mechanisms as well as the effect of it in the value of the companies shares.
